The combined businesses will provide a unique offering to global mining customers with a range of premium, market-leading brands focused on increasing customer producঞvity and reducing total cost of ownership. ESCO's leadership in ground engaging tools complements Weir's porolio of leading products and services that are used on mine sites to process materials extracted by ESCO's equipment. "The foundaঞon of our business for more than 100 years has been delivering value-added soluঞons to customers through a proud tradiঞon of quality and customer-driven innovaঞon," said ESCO Chairman and CEO, Cal Collins. "This merger is exciঞng for ESCO. It combines two premium brands and posiঞons us to beer serve customers around the world. The merger of ESCO into Weir is a great fit, both culturally and strategically." Compleঞon of the acquisiঞon is expected to take place in the third quarter of 2018 following customary regulatory clearances. ESCO will operate as a standalone business as part of Weir for the duraঞon of 2018, with integraঞon starঞng in 2019. No significant change to ESCO employee numbers or faciliঞes are expected as a result of this combinaঞon. ESCO's Portland headquarters will conঞnue to serve as a global centre for ESCO products. "With ESCO we'll be joined by a world-class team and add another leading global brand. Together, Weir Minerals and ESCO will create a unique customer proposiঞon as the premium provider of mission criঞcal surface mining soluঞons from extracঞon to concentraঞon, built on proprietary technology, superior wear life and supported by an unrivalled service network," said Weir CEO, Jon Stanton. The combined business will employ approximately 18,000 people with operaঞons in over 70 countries. ESCO products will conঞnue to be marketed and sold under the ESCO brand. Wells Fargo Securiঞes acted as ESCO's exclusive financial adviser for the transacঞon. Stoel Rives LLP served as legal counsel and Linklaters LLP as UK merger counsel and compeঞঞon law counsel to ESCO. Weir acquires ESCO for US$1.285 billion WBH pump with axial and rotaঞonally adjustable throatbush to even out wear. Due to its innovaঞve design, this pump soon became the new slurry pump standard. "Here at Weir Minerals we are always thinking of new ways to improve the Warman pump for our customers. Research and development has underpinned all of the product development that we've completed and is absolutely crucial to the business," Mr Lane said. "We have a fantasঞc understanding of the many environments in which our pumps operate and the mechanisms of wear. This has enabled us to tailor geometrics and materials to suit specific applicaঞons and gives us a compeঞঞve edge in the marketplace." Today the Warman® pump has an unparalleled world- wide reputaঞon in slurry pumping, commanding a leading share of the global mining market. There are few mining sites in the world where Warman® slurry pumps cannot be found. As technology progresses and society demands new materials, the Warman® pump is primed and ready to provide them. Weir Minerals has developed its own IoT plaorm Synertrex™, which can be fied to a Warman® pump to monitor its performance. "The last eighty years of the Warman pump has given us a wealth of knowledge in how to operate a pump and efficiently transport slurry. Synertrex is going to be able to capture that wealth of knowledge and improve the product," states Michael Hambe, Data Scienঞst for Weir Minerals. "The Synertrex plaorm allows us to collect and analyse data to predict the pump's performance and determine how efficiently it's operaঞng. This empowers our customers to run their pump at the opঞmal threshold of performance." "In terms of Australian mining exports, the Warman pump is probably one of the greatest success stories. We will conঞnue to innovate and make the Warman® pump even bigger and beer," Ricardo Garib concludes.
